These Terms of Service ("Terms") govern your access to and use of the ATOM Governance Platform ("Platform"), including the API, console, SDKs, and all related services, provided by Atom Labs ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing the Platform, or using any service provided by Atom Labs, you confirm that you have read, understood, and agree to these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, you may not use the Platform.

2. Description of Services

ATOM is an AI governance platform that provides pre-execution governance, risk scoring, audit logging, and enforcement controls for AI model requests. The Platform includes:

A governed call gateway (API) for routing and evaluating AI requests
An enterprise console for monitoring, configuration, and audit review
Python and JavaScript SDKs for integration
Governance event streams, enforcement controls, and compliance reporting

3. Account Registration

You must register for an account to access the Platform. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your API keys and account credentials. Atom Labs is not liable for any loss resulting from unauthorized use of your credentials.

4. Trial Period

New accounts are granted a 14-day free trial. During the trial period, usage is subject to a platform call limit as specified in the Platform documentation. Upon trial expiration, governed calls will be paused until you upgrade to a paid plan. Trial accounts may not be used for production workloads exceeding the specified limits.

5. Permitted Use

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Platform to process or govern content that violates any applicable law or regulation
Attempt to circumvent, disable, or interfere with Platform governance or enforcement controls
Reverse engineer, decompile, or disassemble any part of the Platform
Resell or sublicense access to the Platform without our written consent
Use the Platform to transmit malware, spam, or otherwise harmful content
Share API keys or credentials with unauthorized third parties
Exceed applicable rate limits or attempt to bypass rate limiting controls

6. API Keys and Security

Your API keys are credentials that authenticate your requests to the Platform. You are solely responsible for maintaining the security of your API keys. You must immediately notify us at [email protected] if you suspect unauthorized use of your keys. Atom Labs may revoke or rotate API keys at our discretion if we suspect compromise or misuse.

7. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, processing, and storage of data as described in the Privacy Policy.

You retain ownership of any content or data you submit through the Platform. By submitting data, you grant Atom Labs a limited license to process that data solely for the purpose of providing the Platform services.

8. Bring Your Own Keys (BYOK)

You may configure the Platform to use your own API keys for third-party AI providers ("BYOK"). When using BYOK, your keys are encrypted at rest. You are responsible for maintaining valid BYOK credentials and for any costs incurred with third-party providers. Atom Labs is not responsible for service interruptions caused by invalid or revoked BYOK credentials.

9. Billing and Payment

Paid plans are billed according to the pricing displayed at atomlabs.app/#pricing. Payments are processed by Stripe. By subscribing to a paid plan, you authorize Atom Labs to charge your payment method on the billing cycle specified. All fees are non-refundable except as required by applicable law. Atom Labs reserves the right to modify pricing with 30 days advance notice.

10. Service Level and Availability

Atom Labs will use commercially reasonable efforts to maintain Platform availability. We do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be announced in advance where practicable. We are not liable for any downtime or data loss caused by circumstances beyond our reasonable control.

11. Intellectual Property

All intellectual property rights in the Platform, including software, documentation, and governance algorithms, are owned by Atom Labs or its licensors. Patent applications are pending, including US 63/958,209. These Terms do not grant you any ownership rights in the Platform. You may not copy, modify, or create derivative works of the Platform without our prior written consent.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ATOM LABS DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ATOM LABS DOES NOT WARRANT THAT THE PLATFORM WILL DETECT ALL HARMFUL OR NON-COMPLIANT AI OUTPUTS, OR THAT GOVERNANCE DECISIONS WILL BE APPROPRIATE FOR YOUR SPECIFIC USE CASE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATOM LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ATOM LABS IN THE TWELVE MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Atom Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

15. Termination

Either party may terminate these Terms at any time. Atom Labs may suspend or terminate your access immediately if you violate these Terms, fail to pay applicable fees, or engage in conduct we reasonably determine to be harmful. Upon termination, your access to the Platform will cease and we may delete your data in accordance with our data retention policy.

16. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware. You waive any objection to the jurisdiction or venue of such courts.

17. Changes to Terms

Atom Labs may update these Terms from time to time. We will provide at least 14 days advance notice of material changes by email or through the Platform. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
